Abstract: 9 pages. This paper delves into the history and current use for the little-known personal holding company tax, as well as touching on the legislation initiated to abolish it. The personal holding company tax is one that is rarely invoked. It was a provision that was passed in the 1930's in order to discourage rich families from incorporating assets to shelter their income. Incorporating a small business can in fact turn out to be an intelligent decision; however, some of the tax benefits have been reduced or eliminated by laws passed by Congress since 1982.
